- (a) Inspire Uplift directly ("Inspire Uplift Products"); or
- (b) Independent third-party sellers who list and sell products through our marketplace platform ("Third-Party Seller Products").
For Inspire Uplift Products, Inspire Uplift is the seller of record and is responsible for the sale, fulfillment, and customer service related to such products. For Third-Party Seller Products, the applicable third-party seller is the seller of record. Inspire Uplift acts solely as a platform facilitating the transaction between you and the third-party seller. Inspire Uplift is not a party to the transaction between you and any third-party seller and shall not be liable for any acts, omissions, errors, representations, warranties, breaches, or negligence of any third-party seller or for any personal injury, death, property damage, or other damages or expenses resulting therefrom.
Product listings on the Website will indicate whether a product is sold by Inspire Uplift or by a third-party seller. You acknowledge and agree that your rights and remedies with respect to Third-Party Seller Products may differ from those applicable to Inspire Uplift Products, and that you may need to contact the third-party seller directly for certain issues related to Third-Party Seller Products.

We strive to provide accurate product descriptions, images, and other content on the Website. However, we do not warrant that product descriptions, images, pricing, or other content on the Website is accurate, complete, reliable, current, or error-free.
You acknowledge and agree that:
- (a) Colors of products displayed on the Website may vary depending on your monitor settings, screen resolution, and other display factors, and actual product colors may differ from those shown on the Website.
- (b) Product images are for illustrative purposes only and may not exactly reflect the actual product, including size, scale, color, or other attributes.

4. ORDERS AND ORDER ACCEPTANCE

- (d) Suspected fraud or unauthorized transactions;

Order confirmation emails are sent for your convenience and do not constitute acceptance of your order. An order is accepted only when the product is shipped.
5. PRICING AND PAYMENT

6. INSPIRE UPLIFT PERKS MEMBERSHIP AND AUTOMATIC RENEWALS
(a) Inspire Uplift Perks. Inspire Uplift offers a voluntary membership program called "Inspire Uplift Perks" ("Perks" or the "Membership"). Perks is a paid subscription service that provides members with benefits including, but not limited to, free shipping on all orders, 2% cashback on all purchases, package protection, priority customer support, access to exclusive products and collections, and access to members-only discounts and special offers. The specific benefits, terms, and features of Perks may change from time to time at our discretion. We will notify active members of any material changes to the Membership benefits.
(b) Free Trial. If you enroll in Perks through a free trial offer, you will receive full access to Membership benefits during the trial period at no charge. Unless you cancel before the end of the free trial period, your Membership will automatically convert to a paid monthly subscription at the then-current monthly rate (currently $4.97 per month) upon expiration of the trial period, and your payment method on file will be charged. THE FREE TRIAL WILL AUTOMATICALLY CONVERT TO A PAID SUBSCRIPTION UNLESS YOU CANCEL BEFORE THE FREE TRIAL PERIOD ENDS.
(c) Automatic Renewals. Following the free trial period (if applicable) or upon enrollment in a paid Membership, you will automatically be charged on a monthly basis at the then-current monthly rate. Each recurring charge will occur on the same calendar date as your initial paid billing date. YOUR MEMBERSHIP WILL CONTINUE UNTIL YOU CANCEL. IF YOU DO NOT CANCEL YOUR MEMBERSHIP AT LEAST 24 HOURS PRIOR TO YOUR NEXT SCHEDULED BILLING DATE, YOUR MEMBERSHIP WILL AUTOMATICALLY RENEW FOR ANOTHER MONTH, AND PAYMENT WILL BE AUTOMATICALLY PROCESSED USING YOUR PAYMENT METHOD ON FILE. TO CANCEL, YOU MUST LOG IN TO YOUR ACCOUNT AND CANCEL THE MEMBERSHIP BEFORE YOUR NEXT SCHEDULED BILLING DATE, OR CONTACT US AT [email protected]. All cancellation requests received after your scheduled billing date will apply to the following billing period. We may change the Membership fee upon at least 30 days' prior notice to you. If you do not cancel your Membership before the fee change takes effect, the new fee will apply to your next billing cycle. We may refuse to renew any Membership in our sole discretion.
(d) Membership Refunds. Membership fees are generally non-refundable. If you cancel your Membership during a billing period, you will continue to have access to Perks benefits through the end of that billing period, but no partial refund will be issued for the remaining days. If you believe you were enrolled in Perks without your authorization or were charged in error, please contact us at [email protected], and we will cancel the Membership and process a refund as appropriate.
(e) Third-Party Subscription Offers. During or after the checkout process, you may be presented with offers from third-party service providers (such as ShipmentsFree). These third-party offers are governed by the applicable third party's own terms and conditions, and Inspire Uplift is not a party to any agreement between you and such third-party providers. You are solely responsible for reviewing and understanding the terms of any third-party subscription before enrolling. Inspire Uplift disclaims all liability arising from your enrollment in or use of third-party subscription services.
7. TAXES
You are responsible for all applicable taxes, duties, and other governmental charges associated with your purchase. Applicable sales tax will be calculated and added to your order at checkout based on the shipping address and applicable law. For international orders, you may be responsible for import duties, customs fees, and other taxes imposed by your country, which are not included in the purchase price and are your sole responsibility.
8. SHIPPING AND DELIVERY
Inspire Uplift ships products globally, subject to applicable laws and shipping carrier availability. Shipping options, estimated delivery times, and shipping costs will be displayed at checkout.
For Inspire Uplift Products, we offer free standard shipping on qualifying orders as indicated on the Website. For Third-Party Seller Products, shipping costs are determined by the applicable third-party seller and will be displayed on the product listing and at checkout. You are responsible for paying any shipping charges associated with Third-Party Seller Products.
Estimated delivery times are not guaranteed and are provided for informational purposes only. Actual delivery times may vary based on shipping destination, carrier delays, customs processing, weather, and other factors beyond our control. Inspire Uplift is not liable for any delays in delivery.
Risk of loss and title for products pass to you upon delivery to the carrier. You are responsible for inspecting products upon delivery and reporting any damage or discrepancies promptly.
9. RETURNS, REFUNDS, AND ORDER CANCELLATIONS
- Return Window and Eligibility. Returns must be requested within thirty (30) calendar days from the date your package is delivered, as confirmed by the shipping carrier. All returns require prior approval from our support team before any items are shipped back. Unauthorized returns (items sent back without prior approval) may not be processed. Items must be unused, unopened, and in their original condition with all original packaging, tags, labels, and accessories included. Any alteration to the product after delivery may affect return eligibility.

- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
- WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE;
- WARRANTIES THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;

FOR THIRD-PARTY SELLER PRODUCTS, INSPIRE UPLIFT MAKES NO WARRANTIES WHATSOEVER AND EXPRESSLY DISCLAIMS ANY LIABILITY FOR SUCH PRODUCTS. ANY WARRANTY FOR THIRD-PARTY SELLER PRODUCTS IS PROVIDED SOLELY BY THE APPLICABLE THIRD-PARTY SELLER.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
14. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INSPIRE UPLIFT, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
- DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES;
- DAMAGES RESULTING FROM YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE WEBSITE OR ANY PRODUCTS;
- DAMAGES RESULTING FROM ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE WEBSITE, INCLUDING THIRD-PARTY SELLERS;
- DAMAGES RESULTING FROM UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR
- DAMAGES RESULTING FROM ANY MATTER BEYOND OUR REASONABLE CONTROL.
IN NO EVENT SHALL INSPIRE UPLIFT'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE WEBSITE, OR ANY PRODUCTS OR SERVICES EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO INSPIRE UPLIFT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).
THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT INSPIRE UPLIFT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
15. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Inspire Uplift, its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Website or any products purchased through the Website;
- Your violation of these Terms;
- Your violation of any applicable law or regulation;
- Your violation of any rights of any third party;
- Any content you submit or transmit through the Website; or
- Any dispute between you and any third-party seller.
We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.
16. BINDING ARBITRATION AND CLASS ACTION WAIVER
IMPORTANT NOTICE: THIS SECTION CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. IT AFFECTS YOUR LEGAL RIGHTS. PLEASE READ IT CAREFULLY.
Agreement to Arbitrate. You and Inspire Uplift agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or any products or services purchased through the Website (collectively, "Disputes") will be resolved exclusively through final and binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.
Arbitration Rules and Procedures. The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules then in effect, except as modified by these Terms. The AAA Rules are available at www.adr.org or by calling 1-800-778-7879. The arbitration will be conducted in the English language. The arbitrator shall have exclusive authority to resolve all Disputes, including the scope and enforceability of this arbitration agreement.
Location. Unless you and Inspire Uplift agree otherwise, the arbitration will take place in Miami-Dade County, Florida, or at another mutually agreed location. For claims of $10,000 or less, you may choose whether the arbitration will be conducted solely on the basis of documents, through a telephonic or video hearing, or by an in-person hearing.
Arbitration Fees. Payment of all filing, administration, and arbitrator fees will be governed by the AAA Rules. If the arbitrator finds that either the substance of your claim or the relief sought is frivolous or brought for an improper purpose, then the payment of all fees will be governed by the AAA Rules and you agree to reimburse Inspire Uplift for all fees paid on your behalf.
CLASS ACTION WAIVER. YOU AND INSPIRE UPLIFT AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION OR PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING. IF THIS CLASS ACTION WAIVER IS FOUND TO BE UNENFORCEABLE, THEN THE ENTIRETY OF THIS ARBITRATION AGREEMENT SHALL BE NULL AND VOID.
WAIVER OF JURY TRIAL. BY AGREEING TO ARBITRATION, YOU AND INSPIRE UPLIFT ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY.
30-Day Opt-Out Right. You have the right to opt out of this arbitration agreement by sending written notice of your decision to opt out to: Inspire Uplift, Attn. Legal Department, 5335 NW 87th Ave C109 Ste #388, Miami, FL 33178. Your notice must be sent within thirty (30) days of your first purchase through the Website. Your notice must include your name, mailing address, email address, and a clear statement that you wish to opt out of this arbitration agreement. If you opt out, neither you nor Inspire Uplift will be bound by this arbitration agreement, but all other provisions of these Terms will remain in effect.
Survival. This arbitration agreement will survive the termination of your relationship with Inspire Uplift.
17. GOVERNING LAW AND JURISDICTION
These Terms and any Disputes arising out of or relating to these Terms, the Website, or any products or services shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law principles.
For any Disputes not subject to arbitration, or if the arbitration agreement is found unenforceable, you and Inspire Uplift agree to submit to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida, and you waive any objection to venue in such courts.
18. FORCE MAJEURE
Inspire Uplift shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from any cause beyond our reasonable control, including but not limited to acts of God, natural disasters, earthquakes, floods, fires, or severe weather; war, terrorism, civil unrest, or armed conflict; epidemics, pandemics, or public health emergencies; government actions, laws, regulations, embargoes, or sanctions; labor disputes, strikes, or work stoppages; failures or delays of suppliers, carriers, or other third parties; power outages, internet or telecommunications failures; cyberattacks, hacking, or other security breaches; or any other circumstances beyond our reasonable control.
In the event of a force majeure event, our obligations under these Terms will be suspended for the duration of the event, and we will use reasonable efforts to resume performance as soon as practicable.
19. PRIVACY
Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, available at https://www.inspireuplift.com/privacy-policy. By using the Website and placing orders, you consent to our collection and use of your information as described in the Privacy Policy. Please review the Privacy Policy carefully.
